LICENSE AGREEMENT
1. Grant of License
Subject to these terms and your compliance with all applicable agreements, Origin Neural grants you a non-exclusive, non-transferable, revocable license to access and use molecular prediction data through the Axiom Vault platform. The scope of this license is determined by your subscription tier and any additional licensing agreements executed between you and Origin Neural. This license does not convey ownership of any intellectual property, data, or proprietary methods underlying the Service.
2. Data Tier Structure
Prediction data within Axiom Vault is organized into seven data classification tiers, each
representing progressively higher levels of data quality, validation, and commercial value:
SCREENING: Initial AI-generated predictions with basic
binding scores.
VALIDATED: Predictions cross-checked against known
binding assay data.
OPTIMIZED: Predictions refined through multi-objective
optimization (MPO).
CLINICAL: Predictions aligned with clinical-stage
compound profiles.
PROFESSIONAL: Full ADMET and molecular property
data included.
ENTERPRISE: Comprehensive dossiers with scaffold
analysis and compliance data.
VAULT: Highest-confidence predictions with complete
provenance chains and strategic licensing eligibility.
Access to specific data tiers is governed by your subscription level and any additional agreements.
3. Subscription Tiers & Quotas
Four subscription tiers govern platform access and usage quotas:
Explorer (Free): Up to 10 predictions per month. SMILES
display limited to first 10 characters. Access to SCREENING-tier data only. No API access. No bulk
export.
Researcher ($29/month): Up to 500 predictions per month.
Full SMILES access. Access through PROFESSIONAL-tier data. ADMET profiles and drug scores included.
No API access. Single-record export only.
Institutional ($299/month): Up to 5,000 predictions per
month. Full SMILES access. Access through ENTERPRISE-tier data. API access with rate limits. Bulk CSV
export. Priority support queue.
Sovereign ($2,999/month): Unlimited predictions. Access
to all data tiers including VAULT. Dedicated API endpoints. Unlimited bulk export. Priority SLA with
guaranteed response times. Dedicated account manager.
Unused monthly quotas do not roll over to subsequent billing periods.
4. Per-Dossier Unlocks
Individual Digital Drug Dossier unlocks are available at $2 per compound, independent of subscription status. Each unlock grants access to a single compound's complete dossier for that session, including: full SMILES structure, pIC50 binding prediction, ADMET safety profile, molecular properties, scaffold analysis, and BSV blockchain proof of provenance. Dossier data is scoped to a single compound for a single session. Unlocked data does not carry over between sessions or accumulate. Bulk pricing is available: $1.50 per compound for 10+ unlocks, $1.00 per compound for 50+ unlocks in a single transaction.
5. Restrictions
Under this license, you may not: (a) redistribute, resell, sublicense, or publicly share prediction data obtained from the Service; (b) perform bulk scraping or systematic downloading beyond your tier's designated export limits; (c) attempt to reconstruct, reverse-engineer, or derive the model's architecture, weights, or training methodology from the Service's outputs; (d) remove, alter, or obscure any MolMark forensic watermarks or other proprietary identifiers embedded in exported data; (e) use prediction data to train competing machine learning models or services; (f) share API credentials or access tokens with unauthorized third parties. Data export volumes are subject to your subscription tier limits. All exported data retains its licensing restrictions regardless of format or medium.
6. MolMark Forensic Watermarking
Prediction data exported at the Institutional tier and above contains embedded MolMark forensic watermarks. MolMark is a proprietary 16-bit steganographic signature embedded within exported molecular data that uniquely identifies the originating account, export timestamp, and subscription tier. MolMark achieves greater than 95% trace accuracy and is designed to survive common data transformations including format conversion, column reordering, and partial dataset extraction. The presence of MolMark watermarks in redistributed data constitutes prima facie evidence of license violation. Intentional removal, alteration, or circumvention of MolMark watermarks is a material breach of this agreement and may result in immediate termination, legal action, and liability for damages.
7. Strategic Licensing (VAULT/ENTERPRISE)
Access to VAULT-tier and ENTERPRISE-tier data for commercial purposes requires a separate Structured Licensing Agreement (SLA) executed between the licensee and Origin Neural. Strategic licenses include milestone-based pricing structures, field-of-use exclusivity within defined therapeutic areas, co-development terms, and net sales royalty obligations. Pricing tiers for strategic licenses include: upfront data access fees ($50,000–$150,000), pre-clinical and clinical milestone payments, regulatory milestone payments, and commercial royalties (1–5% of net sales). Field-of-use carve-outs may grant exclusivity within specific therapeutic indications. All strategic licensing terms are negotiated individually. Contact licensing@originneural.ai for inquiries.
8. Termination
Origin Neural may terminate or suspend your license immediately upon breach of any term in this agreement. Upon termination: (a) all rights granted under this license cease immediately; (b) you must destroy all copies of exported prediction data in your possession within 30 days; (c) you must certify in writing that all data has been destroyed upon request; (d) any outstanding payment obligations remain enforceable. Sections relating to intellectual property ownership, restrictions, MolMark watermarking, limitation of liability, and dispute resolution survive termination of this agreement.
