TERMS OF SERVICE
1. Acceptance of Terms
By accessing or using Axiom Vault ("Service"), operated by Origin Neural ("Company", "we", "us"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. You must be at least 18 years of age or the age of majority in your jurisdiction to use this Service. By using the Service, you represent and warrant that you meet these eligibility requirements. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the platform at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
2. Description of Service
Axiom Vault is a Verified Molecular Intelligence platform providing AI-generated molecular binding predictions with blockchain-verified provenance. The platform hosts over 23 million predictions generated by the Sovereign Proof Engine, a proprietary 5-gate verification pipeline (Smooth Wall, Sovereign MLP, Logic Wall, Manifold Check, Proof Hash). All prediction data is research-grade computational output and does not constitute medical advice, drug recommendations, clinical guidance, or any form of professional healthcare counsel. The Service operates as a Data-as-a-Service (DaaS) platform with tiered access to molecular intelligence data.
3. Account & Subscriptions
The Service offers four subscription tiers under the DaaS model:
Explorer (Free): 10 predictions per month, first 10 characters
of SMILES only, basic binding scores.
Researcher ($29/month): 500 predictions per month, full SMILES
access, ADMET profiles, drug scores.
Institutional ($299/month): 5,000 predictions per month, API
access, bulk CSV export, priority support.
Sovereign ($2,999/month): Unlimited predictions, VAULT-tier
access, dedicated SLA, priority queue.
Subscriptions are billed monthly via Stripe. All plans auto-renew unless cancelled before the next billing
cycle. You may cancel your subscription at any time; access continues through the end of the current
billing period. No pro-rata refunds are issued for partial months. You are responsible for maintaining
accurate and current payment information.
4. Digital Drug Dossier Unlocks
Individual predictions may be unlocked via a Digital Drug Dossier session at $2 per compound. Each dossier unlock provides: full SMILES structure, pIC50 binding prediction, ADMET safety profile, molecular properties, scaffold analysis, and BSV blockchain proof of provenance. Dossier unlocks are single-compound, single-session digital goods delivered instantly upon payment. No subscription is required to purchase individual dossiers. Once delivered, dossier unlocks are non-refundable as they constitute immediately delivered digital goods. Bulk purchase discounts are available: 10+ compounds at $1.50 each, 50+ compounds at $1.00 each.
5. Strategic Licensing
VAULT-tier and ENTERPRISE-tier data access may be licensed under Structured Licensing Agreements (SLAs) for institutional and commercial use. Strategic licenses involve tiered pricing structures including upfront data access fees ($50,000–$150,000), milestone-based payments tied to research progress, commercial milestone payments, and net sales royalties (1–5%). Field-of-use carve-outs grant exclusivity within defined therapeutic areas. All strategic licenses require a separate written agreement executed by both parties. 6. Acceptable Use
You agree not to: (a) scrape, crawl, or systematically extract data from the Service beyond your tier's API limits; (b) redistribute, resell, or sublicense prediction data without written authorization; (c) attempt to reverse-engineer, reconstruct, or extract model weights, architecture, or training data from the Service's outputs; (d) circumvent access controls, authentication mechanisms, or tier restrictions; (e) use the Service for any unlawful purpose or in violation of applicable export control regulations; (f) remove, alter, or obscure any watermarks, attribution markers, or proprietary notices embedded in the data; (g) use automated tools to bypass rate limits or quota enforcement. Violation of these terms may result in immediate account suspension or termination.
7. Data Accuracy & Disclaimer
All predictions provided by the Service are computational estimates generated by an autonomous AI system. Predictions have not been validated through wet-lab experimentation, clinical trials, or independent assay confirmation. Binding scores, pIC50 values, ADMET profiles, and drug scores are statistical outputs of the Sovereign Proof Engine and should be treated as research hypotheses requiring experimental validation. Origin Neural makes no guarantee regarding the accuracy, completeness, or fitness for purpose of any prediction data. Users assume all risk associated with reliance on prediction outputs.
8. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL ORIGIN NEURAL, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. ORIGIN NEURAL'S TOTAL LIABILITY SHALL NOT EXCEED THE AGGREGATE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE.
9. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.
10. Modifications
Origin Neural reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' prior notice via email to the address associated with your account or by posting a prominent notice on the Service. Non-material changes (e.g., formatting, clarifications) may take effect immediately. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service before the changes take effect.
